Master Service Agreement (MSA)

This page summarizes the Master Service Agreement between your dental practice ("Client") and Revamend ("Revamend"). The MSA is executed electronically during onboarding and, together with the fee schedule, the Business Associate Agreement, and the Letter of Authorization, forms the complete agreement for the engagement. This summary is for convenience; the executed MSA is the binding document.
Scope of services
Revamend will:
- Ingest and triage denied claims from the Client's remittance data, organized by claim adjustment reason code.
- Prepare and submit appeals, reconsiderations, and corrected claims to payers on the Client's behalf.
- Follow up with payers on submitted appeals through resolution.
- Report recovered amounts, open work, and outcomes through the client portal and periodic summaries.
- Provide portal access for the Client's authorized users.
Revamend does not provide legal, clinical, or coding advice, does not alter clinical documentation, and does not guarantee payment of any specific claim.
Term and termination
The MSA begins on the effective date shown in the executed agreement and continues until terminated. Either party may terminate for convenience with thirty days' written notice, or immediately for a material breach that is not cured within the notice period stated in the agreement. On termination, Revamend completes or hands off in-flight appeals as the parties agree, and PHI is returned or destroyed under the BAA.
Fees and payment
- Contingency fee. Twenty percent (20%) of dollars actually recovered on claims Revamend works, unless a different rate appears in the fee schedule. No recovery, no contingency fee. Fees are invoiced monthly in arrears based on recoveries confirmed during the month, and recoveries attributable to work performed before termination remain billable after termination.
- Monitoring subscription. If the Client elects ongoing denial monitoring, it is billed monthly at the subscription rate in the fee schedule and may be cancelled per the agreement's notice terms.
- Invoices are due within the period stated on the invoice. Undisputed overdue balances may accrue late charges and may lead to suspension of services after notice.
Client responsibilities
- Provide timely access to remittance data (ERA/835 files or equivalent exports) and to documentation reasonably needed for appeals, such as clinical notes, radiographs, and perio charting.
- Provide accurate practice, provider, and payer information and keep it current.
- Execute and maintain the Letter of Authorization so Revamend can act with payers on the Client's behalf.
- Notify Revamend promptly of payer payments, recoupments, or correspondence relevant to worked claims.
Confidentiality
Each party will protect the other's confidential information with at least reasonable care, use it only for the engagement, and disclose it only to personnel and subcontractors bound by equivalent obligations. PHI is governed by the Business Associate Agreement, which controls over the MSA for HIPAA matters.
Warranties and liability
Revamend warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except for that warranty, services are provided without other warranties, express or implied. Each party's aggregate liability is capped at the fees paid or payable to Revamend in the twelve months preceding the claim, and neither party is liable for indirect or consequential damages. The caps do not apply to confidentiality breaches, to fees owed, or to liability that cannot be limited by law.
Dispute resolution
The parties will first attempt to resolve disputes through good-faith escalation between designated representatives. Disputes not resolved within the escalation period are resolved as stated in the executed agreement: [ARBITRATION OR COURTS OF THE STATE OF [STATE]]. The MSA is governed by the laws of the State of [STATE].
